ARTICLE I NAME OF ORGANIZATION

High School Parent-Teacher Organization
ARTICLE II PURPOSE
Section 1 To bring into closer relationship the home and the school so that the
parents and teachers may cooperate at all levels to secure the highest
advantages in physical, intellectual and social education for every child.
Section 2 The PTO is organized exclusively for the charitable, scientific, literary and/or
educational purposes within the meaning of Section 501 (c) (3) of the
Internal Revenue Code or corresponding section of any future tax code.
ARTICLE III MEMBERSHIP
Section 1 No dues are required for membership, however voluntary donations will
be accepted one time per fiscal year.
Section 2 Membership in the PTO shall be made available without regard to race,
color, creed or national origin to all parents and guardians of students
attending
Hilliard
Darby
High School, the Principals, teachers of the
school and all school employees.
Section 3 Only members of the PTO shall be eligible to serve in any of its elective
or appointive positions.
Section 4 Only members of the PTO shall have the privilege of introducing
motions, debating and voting at meetings of the PTO.
ARTICLE IV POLICIES
The following are the basic policies of the PTO:
Section 1 The PTO shall be noncommercial, nonsectarian and nonpartisan.
Section 2 The name of the PTO or the names of any members in their official
capacities shall not be used to promote or endorse and cause not
appropriately related to promotion or the objections of the PTO.
Section 3 The PTO shall work with the

Darby
High School and the Hilliard
City
School District to provide a quality education for all students.
Section 4 The PTO may cooperate with other organizations and agencies
concerned with child welfare, but persons representing the PTO in such
matters shall make no commitments that the bind the PTO.
Section 5 Upon the dissolution of the PTO, after paying or adequately providing for
the debts and obligations of the organization, the remaining assets shall
be distributed to one or more non-profit funds, foundations or
organizations, to be decided by the Executive Committee.
Section 6 The by-laws of the PTO shall be available to all members of the PTO.
Section 7 The by-laws may be amended at any meeting of the PTO by a two-thirds
vote of the members present and voting, provided notice of the proposed
amendment has been given at the previous meeting of the PTO.
ARTICLE V OFFICERS AND THEIR ELECTIONS
Section 1 The officers of the PTO shall be: President, President-Elect, Secretary,
and Treasurer. These officers shall constitute the Executive Committee.
Section 2 Nominations for officers shall be made from the floor of interested
volunteers who are currently a member of the
Hilliard
Darby
High School
PTO or whose children will be attending
Hilliard
Darby
High School in the
upcoming year. Recruiting of such volunteers shall be done in April and
shall include contacting parents of children from the next year’s incoming
class.
Section 3 The election of officers shall be by a majority vote of the PTO members
in attendance at the May PTO meeting. Duties shall be assumed on
July 1st.
Section 4 A vacancy occurring in any elective position shall be filled for the
remaining term by a PTO member elected by a majority vote of the
remaining members of the Executive Committee. Notice of such an
election will be given.
ARTICLE VI DUTIES OF OFFICERS
Section 1 It shall be the duty of the President to preside at all meetings of the PTO
and Executive Board, enforce all rules, appoint committees and be an
ex-officio member of all committees.
Section 2 The President-Elect shall act as an aide to the President and shall
perform the duties of President in his/her absence. The President-
Elect shall assume the office of President in the event of a vacancy.
The President-Elect shall serve as President the following school year.
Section 3 The Secretary shall keep correct records of all meetings, attend to all
correspondence, provide notification of all meetings and maintain a file of
all important documents.
Section 4 The Treasurer shall have custody of all PTO funds, shall keep a full and
accurate account of receipts and expenditures, and shall make
disbursements in accordance with the budget approved by the Executive
Committee. The Treasurer shall present a written financial statement at
every meeting of the PTO and Executive Committee.
Section 5 The Principal of the school will serve as advisor in the matters of
school policies and school functions.
Section 6 The duties of the Executive Committee shall be:
a) To transact necessary business in the intervals between PTO
meetings and such other business as may be referred to it by the
PTO.
b) To create Standing Committees and approve their plan of work.
c) To appoint a qualified individual (i.e. accountant, controller) to
audit all PTO financial accounts at any time and at the end of the
current treasurer’s term of office.
d) To approve budgetary concerns.
e) To fill vacancies in elective and appointive positions.
f) To keep accurate records which will pass to new officers no later
than 14 days after the end of the fiscal year.
ARTICLE VII MEETINGS
Section 1 Meetings shall be held monthly during the school year with a date and
time to be decided at the first official meeting. A monthly meeting may
be canceled if there is no need for a meeting and the members vote it
acceptable.
Section 2 A special meeting may be called by the President, a majority of
Executive committee members, or upon request of 5 PTO members.
Section 3 A majority of the members of the Executive committee shall constitute a
quorum.
Section 4 any meeting of the PTO, general or Executive Committee, is considered
an official meeting when a quorum of Executive Committee members is
present.
ARTICLE VIII STANDING COMMITTEES
Section 1 The members of the Executive Committee shall create such Standing
Committees as it may deem necessary to promote the objectives and
carry out the work of the PTO. The term of office of the chairperson of a
Standing Committee shall be from inception until the end of the current
year.
Section 2 The chairperson of a Standing Committee shall present plans of work
that include a budget to the Executive Committee for approval. No
Standing Committee work shall be undertaken without the consent of the
Executive Committee.
Section 3 A majority of the members of a Standing Committee shall constitute a
quorum.
Section 4 The chair person of a Standing Committee shall keep accurate records
of their committee’s activities and shall submit to the President a written
report of their committee’s activities at the end of the current fiscal year.
ARTICLE IX FISCAL YEAR
The fiscal year of the PTO shall be from July1 through June 30. At the
end of the fiscal year, the books will be audited by a third party.
ARTICLE X PARALIAMETARY AUTHORITY
Robert’s Rules of Order Newly Revised shall govern the PTO in all cases
in which they are applicable and in which they are not in conflict with
these by-laws.
